Nominations for Council 2019 – Important Notice

Certain Corporate Members

 

In accordance with paragraph 2 of Bye-Law 5, the Council of The Institute of Bankers in Ireland (“the Institute”) hereby invites nominations from amongst certain Corporate Members of the Institute for candidates for election to Council. Certain Corporate Members are the Banking Institutions and Financial Companies, the Funds Companies and the Professional Services Companies as set out in Schedules 2, 3 and 4 of Bye-Law 2.

Two (2) relevant Council seats will be vacant at the next Annual General Meeting (“AGM”) on 7 March 2019.

Fellows, Licentiates and Practitioners are eligible to hold office as a Council member.

A relevant Corporate Member may participate in the nomination and election process provided for in Bye-Law 5 only through an Elector so designated and notified. Each relevant Corporate Member is requested to designate an Elector and notify the Secretary of the Institute in writing by 30 November 2018.

Nominations for election must be in the form specified in the Schedule to Bye-Law 5 and must be signed by not less than two (2) Electors. Nominations must also include confirmation in writing from the nominee in the form specified in the Schedule of his or her willingness to become a member of Council. Nominations must be lodged with the Secretary of the Institute not later than 5pm on Tuesday 15 January 2019. The postal address is The Secretary, The Institute of Bankers in Ireland, 1 North Wall Quay, Dublin 1.

1.The Institute of Bankers in Ireland is a company limited by guarantee. Council members are directors of the company and carry the responsibilities of directors in accordance with the Companies Act 2014.

3.If the number of candidates nominated for election does not exceed the number of relevant Council seats to be filled by the election, all such candidates will be deemed elected.

4.If the number of candidates nominated for election exceeds the number of relevant Council seats, the Council shall hold a postal ballot among the Electors, in accordance with section 3 of Bye-Law 5.
